Raven Imagery Terms and Conditions

These Terms and Conditions apply to photography services provided by Andrew Raven trading as Raven Imagery, referred to throughout as “Raven Imagery”, “the Photographer”, “I”, “me” or “my”.
“Client” or “you” means the person, business or organisation commissioning the photography.
“Images” means photographs and other visual material created or supplied by Raven Imagery, whether delivered digitally or physically.
These Terms should be read alongside your booking confirmation, quotation, invoice and any written agreement relating specifically to your commission. Where specific terms have been agreed in writing for a particular commission, those specific terms will take precedence to the extent of any inconsistency.
1. Booking and Formation of the Contract
An enquiry or discussion of availability does not by itself constitute a confirmed booking.
A booking becomes confirmed when I have accepted the commission in writing and any booking payment or deposit requested has been received, unless we agree otherwise in writing.
Once a particular date and time have been confirmed, I will reserve that time for you and may decline other work for the same period.
You are responsible for checking that the details in your booking confirmation are correct, including the date, time, location, number of dogs or participants and the nature of the photography requested.
2. Private Clients and Business Clients
Some provisions of these Terms apply differently depending upon whether you are booking as:
a Private Client: an individual purchasing photography wholly or mainly for purposes outside their trade, business, craft or profession; or
a Business Client: a company, organisation, sole trader or other person purchasing photography wholly or mainly for business, commercial, editorial, promotional or professional purposes.
Nothing in these Terms affects any statutory rights that a Private Client has as a consumer.
3. Statutory Cancellation Rights for Private Clients
If you are a Private Client and your contract is concluded at a distance, including by email, telephone or online, you may have a statutory right to cancel the contract within 14 days of it being made without giving a reason.
If you ask me to begin providing services during that 14 day cancellation period, including substantial planning or carrying out the photography itself, you expressly request that performance of the service begins during the cancellation period.
If you subsequently exercise a statutory right to cancel after performance has begun at your express request, you may be required to pay a proportionate amount for services already provided.
Where the service has been fully performed during the cancellation period following your express request to begin early and your acknowledgement that your cancellation right will be lost once the service has been fully performed, your statutory cancellation right may end when performance is complete.
These provisions do not affect any cancellation rights you may have under applicable consumer law.
4. Cancellation by the Client
Once the applicable statutory cancellation period has passed, or where no statutory cancellation right applies, please let me know as soon as reasonably possible if you need to cancel.
Photography dates involve reserving time that may no longer be possible to offer to another client at short notice. Depending upon when cancellation takes place, the work already undertaken, expenses already committed and whether the reserved date can reasonably be filled, a cancellation charge may apply.
As a general guide:
cancellation within seven days of the confirmed photography date may incur a charge of up to 30% of the agreed photography fee;
cancellation within 24 hours of the confirmed photography time may incur a charge of up to 50% of the agreed photography fee;
cancellation on the day of the photography, or failure to attend without reasonable notice, may incur a charge of up to 100% of the agreed photography fee.
For Private Clients, any amount retained or charged will be reasonable in the circumstances and will reflect losses directly arising from the cancellation, including work already undertaken, non recoverable costs and the loss of the reserved booking where applicable. I will take reasonable steps to reduce avoidable losses, including taking account of whether the date is subsequently rebooked.
Any booking payment already received will be applied towards any properly due cancellation amount. Where the booking payment exceeds the amount reasonably due, the balance will be refunded.
Different cancellation arrangements may be agreed in writing for commercial productions, events, destination photography or other Business Client commissions.
5. Postponement and Rescheduling
I understand that circumstances sometimes change.
If you need to postpone a session, please contact me as soon as possible. Where reasonable, I will make every effort to move the booking to another mutually suitable date.
If postponement causes non recoverable expenses, loss of the original booking date or additional work, an appropriate charge may be made. I will explain any such charge before the rescheduled work proceeds wherever reasonably possible.
Repeated postponements may be treated as a cancellation where it is no longer reasonably practicable to continue holding or rearranging the commission.
6. Weather
Outdoor photography is naturally affected by weather, light and environmental conditions.
Where I consider that conditions would materially compromise the session, the welfare or safety of those involved, or the standard of photography I would reasonably expect to create, I may recommend postponing or adjusting the session.
Where I initiate a weather related postponement, there will ordinarily be no additional rescheduling fee and we will arrange another suitable date.
Weather conditions can change quickly and a particular type of light, sky, foliage, seasonal decoration or atmosphere cannot be guaranteed.
7. Cancellation by Raven Imagery
In the unlikely event that I am unable to attend because of serious illness, injury, emergency or another circumstance outside my reasonable control, I will contact you as soon as reasonably possible.
Where appropriate, I may offer an alternative date or, with your agreement, try to recommend another suitable photographer.
If I cancel and we cannot reasonably reschedule, amounts you have paid for services that have not been provided will be refunded.
Nothing in these Terms limits any additional rights or remedies available to Private Clients under applicable consumer law.
8. Timing, Lateness and Non Attendance
Please make every reasonable effort to arrive at the agreed time.
If you arrive late, the session may still need to finish at the originally agreed time where I have other commitments, access restrictions or suitable light is limited.
Where additional photography time is requested or required because of Client lateness and I am able to accommodate it, additional time may be charged at the agreed rate or another rate confirmed with you.
If incorrect information supplied by the Client results in delay, additional travel, additional expenses or an inability to carry out the photography, reasonable additional costs may be charged.
9. Dogs, Other Animals and Welfare
The welfare and safety of every dog or other companion animal involved in a session is important.
You remain responsible for the care, supervision and control of your dog throughout the photography session and for deciding whether any location, activity or situation is suitable for them.
Please tell me in advance about anything that may materially affect how the session should be approached, including significant fear, reactivity, mobility considerations or behaviour that could create a safety concern.
Dogs should remain appropriately secured where required by law, location rules or safety considerations. Leads can often be removed during retouching where suitable.
I will never knowingly require a dog to undertake an activity that I consider unsafe or inappropriate. I may pause, adapt or end photography if continuing would create an unreasonable risk to a dog, Client, member of the public, myself or another person.
Where children participate, a responsible parent or guardian must remain responsible for their supervision.
10. Locations, Access and Permissions
Photography in London and other public or privately owned locations may be subject to access restrictions, security requirements, permits, events, closures, construction, crowds and rules imposed by landowners or authorities.
I cannot guarantee uninterrupted access to a particular location or an identical view, decoration, street scene or background seen in photographs taken previously.
Where a location unexpectedly becomes unavailable, I will use reasonable creative judgement to find an appropriate alternative where possible.
For commercial photography, the Client is responsible for obtaining location permissions, property releases and other permissions required for the intended use unless I have expressly agreed in writing to arrange them.
Any location, permit, parking, congestion, toll, travel or similar expenses chargeable to the Client will be identified in the quotation or agreed with the Client wherever reasonably possible.
11. Artistic Style and Creative Discretion
You are commissioning Raven Imagery with an understanding of my existing photographic style, approach and body of work.
Photography is a creative service. Composition, lighting, perspective, timing, image selection, colour treatment and retouching involve artistic judgement.
I will use reasonable care and skill in creating work consistent with the agreed commission and my established style. Individual photographs cannot be guaranteed and variations from previous sessions are an inherent part of photography.
A difference in personal preference regarding composition, expression, colour treatment or artistic style does not by itself establish that the service has been performed incorrectly.
Nothing in this section affects the statutory rights of Private Clients where photography services have not been performed with reasonable care and skill or otherwise fail to conform to the contract.
12. Image Selection and RAW Files
Unless agreed otherwise in writing, I retain creative control over the selection of photographs presented to the Client.
Images that I consider technically unsuitable, repetitive, test images, unfinished files and other rejected photographs are not included in the delivered work.
RAW files and other unfinished working files are not supplied unless expressly agreed in writing as part of a commercial commission.
13. Editing and Retouching
The level of editing and retouching included will depend upon the commission and the service booked.
My normal finishing process may include colour and tonal work, local adjustments, removal of leads where appropriate, minor distractions and other retouching consistent with the style represented in my portfolio.
Extensive compositing, major alterations or additional retouching requested outside the agreed scope may incur an additional fee. Any such fee will be discussed before additional work is undertaken.
14. Delivery
Estimated delivery timings may be given at the time of booking or following the session. Unless a delivery date has expressly been agreed as essential to the contract, delivery timings are estimates and can vary according to workload, the number of photographs, the complexity of retouching and other circumstances.
Where photography is required for a fixed publication, campaign or event deadline, the Client must make that deadline clear before booking so that it can be expressly agreed.
Digital Images may be supplied through an online gallery, download service or another agreed delivery method.
15. Archiving
Clients are responsible for downloading and safely backing up delivered digital Images.
I ordinarily retain delivered final Images for a reasonable period following delivery and currently aim to retain them for at least six months. I do not guarantee permanent storage or indefinite retrieval of Client files.
Where Images remain available after that period, retrieval or additional archive work may incur a reasonable administration charge.
Longer term copies may also exist within secure business archives, backups or my photographic archive.
16. Fees and Additional Work
The price payable will be the price stated in the relevant quotation, booking confirmation, invoice or other written agreement.
Where the Client changes the agreed scope, location, duration, number of participants, deliverables or intended commercial use, additional charges may apply.
Where reasonably practicable, I will explain additional charges before carrying out work outside the agreed scope.
Reasonable expenses incurred at the Client's request or as part of an agreed commission may be added to the invoice where these were included in the quotation or otherwise agreed.
17. Payment
Payment dates will be stated on the relevant invoice or booking confirmation.
For Private Clients, the agreed balance must normally be paid by the date stated on the invoice or before final Images are released where that forms part of the booking arrangement.
For Business Clients, payment terms will be those stated on the invoice, quotation or commission agreement.
Where the Late Payment of Commercial Debts legislation applies to a Business Client, Raven Imagery reserves the right to claim statutory interest and applicable debt recovery costs on overdue commercial debts.
A licence for commercial reproduction or use does not take effect until the relevant invoice has been paid in full unless expressly agreed otherwise in writing.
18. Copyright and Ownership
Unless expressly assigned in writing, copyright and all other intellectual property rights in photographs created by Raven Imagery remain with Andrew Raven trading as Raven Imagery.
Purchasing a photography session, print or digital Image does not transfer copyright ownership.
The Client receives only the usage rights expressly granted under these Terms, the booking confirmation, licence or other written agreement.
19. Personal Use by Private Clients
Unless otherwise agreed, a Private Client receiving digital Images is granted a non exclusive, perpetual licence to use the delivered Images for personal and non commercial purposes.
This includes personal display, sharing with friends and family and posting on personal social media accounts.
Where high resolution files have been supplied for personal printing, the Client may make prints for their own personal use.
Images may not be sold, licensed, supplied for advertising, used commercially, entered into commercial image libraries, used to create commercial products or otherwise exploited for financial or business purposes without prior written agreement.
Images should not be materially altered in a way that misrepresents the Photographer's work. This includes substantial editing, application of filters that materially change the finished work, or use as source material for generative artificial intelligence systems without prior permission.
Normal resizing or cropping automatically applied by social media platforms is permitted.
20. Commercial and Editorial Use
For Business Clients, use of Images is limited to the media, purpose, territory, duration and other usage agreed at the time of commissioning or stated in the relevant licence, quotation, invoice or booking confirmation.
No additional use may be made without my prior written agreement.
Unless expressly agreed, usage rights are non transferable and non exclusive.
The Client may provide Images to its employees, designers, agencies, publishers, printers, public relations representatives and other contractors only where reasonably necessary to exercise the usage rights granted. The Client remains responsible for ensuring those parties use the Images only within the agreed licence.
Any extension of the agreed usage may require an additional licence fee.
Exclusive rights apply only where expressly agreed in writing.
21. Credit and Moral Rights
I assert my moral right to be identified as the author of my photographic work where that right applies.
For editorial and commercial use, where a photographic credit is reasonably practicable and consistent with the agreed use, the requested credit is:

Any different credit requirement may be agreed in writing for a particular commission or publication.
22. Client Materials, Permissions and Releases
The Client warrants that they have permission to provide any logos, artwork, products, documents, designs or other material supplied to me for inclusion in the photography and to instruct me to use those materials for the agreed purpose.
For Business Client commissions, the Client is responsible for securing appropriate permissions, releases and consents from models, employees, contributors, property owners, designers or other rights holders where those permissions are required for the Client's intended reproduction or commercial use, unless I have expressly agreed in writing to obtain them.
A Business Client will be responsible for reasonable losses, claims and costs arising directly from materials or instructions supplied by that Client where the Client did not have the necessary rights or permissions to provide them.
23. Raven Imagery's Use of Commissioned Images
Copyright ownership and permission to publish an identifiable person's image are separate matters.
For private portrait commissions, I will handle the use of identifiable Client or family photographs for my website, portfolio, social media, publicity, competitions, exhibitions, publications or promotional material in accordance with applicable privacy and data protection requirements and any separate permission or model release that has been agreed.
A Client who requires a commission to remain private should make this known to me.
For commercial commissions, I may use completed Images to promote my work, including in portfolios, award entries, exhibitions, social media and professional publicity, unless confidentiality, an embargo or another restriction has been agreed in writing.
24. Prints and Physical Products
Colours, brightness and tonal appearance may vary slightly between calibrated photographic prints and screens.
Where prints or other products are made specifically to a Client's chosen specification, applicable statutory rules relating to personalised or made to order goods will apply.
Nothing in these Terms affects a Private Client's statutory rights where goods are faulty, damaged, incorrectly supplied or otherwise fail to conform to the contract.
Any visible damage to a delivered physical product should be reported as soon as reasonably possible, ideally with photographs of the packaging and item so that the issue can be investigated.
25. Technical Failure and Loss of Images
Professional care is taken throughout capture, storage, editing and delivery. Photography nevertheless involves equipment and digital storage systems and there remains a small risk of technical failure, corruption, loss, theft or damage outside reasonable control.
If a material photographic failure occurs, I will consider the circumstances and, where appropriate and reasonably possible, offer repeat photography or another appropriate remedy.
Where repeat performance is impossible or inappropriate, a refund or price reduction may be offered in accordance with the circumstances and applicable law.
Nothing in these Terms excludes the statutory remedies available to a Private Client.
26. Liability
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any consumer right that cannot lawfully be excluded.
Raven Imagery is not responsible for losses caused by information supplied incorrectly by the Client, failure to follow reasonable safety instructions, or circumstances genuinely outside the Photographer's reasonable control.
For Business Clients, Raven Imagery will not be liable for indirect or consequential business loss, loss of profit, loss of opportunity or loss arising from use of Images outside the agreed licence, except where such liability cannot lawfully be excluded.
Private Clients are not purchasing the services for business purposes and Raven Imagery is therefore not responsible for business losses arising from a Private Client commission.
27. Events Outside Reasonable Control
Neither party will be treated as having breached the contract because of delay or failure caused by an event genuinely outside their reasonable control.
Such circumstances may include severe weather, transport disruption, government restrictions, venue closure, serious illness, accident, emergency or other events that could not reasonably have been prevented.
Where such an event materially affects the commission, the parties will make reasonable efforts to reschedule or agree another appropriate solution.
28. Complaints
If you are unhappy with any aspect of the service, please contact me as soon as reasonably possible so that I have an opportunity to understand and address the issue.

29. Privacy and Personal Information
Personal information is handled in accordance with the Raven Imagery Privacy Policy, available on the Raven Imagery website.
30. Third Party Rights
Unless expressly stated otherwise, a person who is not a party to the contract has no right to enforce these Terms.
31. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply so far as legally possible.
32. Changes and Variations
Any material variation to the terms of an individual confirmed commission should be agreed in writing.
Raven Imagery may update these general website Terms from time to time. The version applying to a confirmed booking will ordinarily be the version provided or made available when that booking was entered into, together with any subsequently agreed written variation.
33. Governing Law
These Terms and any contract between Raven Imagery and the Client are governed by the laws of England and Wales.
If you are a Private Client, nothing in this clause removes any mandatory rights you have under the law applicable to you or any right you may have to bring proceedings in another court where consumer law permits.
